How do I form an LLC in Arizona?

You file Articles of Organization with the Arizona Corporation Commission, name a statutory agent, and — outside Maricopa and Pima Counties — publish a notice of formation. Arizona LLCs are not required to file annual reports, unlike many states.

What is the Arizona LLC publication requirement?

Most Arizona entities must publish a notice of formation in an approved newspaper for three consecutive publications. Filings whose known place of business is in Maricopa or Pima County are exempt because the ACC posts those on its website.

What is a statutory agent?

A statutory (registered) agent is the person or company designated to receive legal and official mail for your Arizona entity. Every LLC and corporation must name one.

Do Arizona LLCs file annual reports?

No. Arizona LLCs are not required to file annual reports with the ACC. Arizona corporations, however, must file an annual report.
